1. Acceptance of Terms

By accessing or using Trade Noted — including the web application at app.tradenoted.com, the mobile application on iOS or Android, and the marketing website at tradenoted.com (collectively, the "Service") — you agree to be bound by these Terms and Conditions ("Terms") and our Privacy Policy.

The Service is operated by S and A Marketing FZ-LLC ("Company," "we," "us," "our"). If you do not agree to these Terms, you must not access or use the Service.

2. Description of Service

Trade Noted is a trading journal platform designed to help traders log, review, and analyze their own trading activity. The Service includes:

• Manual trade entry and CSV trade history import
• Performance analytics, metrics, and charts derived from your logged trades
• Rules configuration and trade compliance tracking
• Monte Carlo simulation for statistical analysis of historical trade data
• Daily journal and notes
• Watchlist management
• Optional public portfolio sharing

Trade Noted does not connect to brokers, execute trades, provide financial or investment advice, generate trading signals, or verify the accuracy of any data you enter.

3. Eligibility & Account Registration

• You must be at least 18 years old to create an account and use the Service.
• You must provide a valid email address. Account creation and authentication is handled through Clerk, a third-party identity provider. By registering, you also agree to Clerk's applicable terms.
• You are responsible for maintaining the confidentiality of your account credentials. You must not share your account with any other person.
• Each individual may maintain only one account. Creating multiple accounts to circumvent restrictions or exploit features is prohibited.
• You must provide accurate information and keep your account details up to date. Providing false information (including a false email address) is grounds for account termination.
• You are responsible for all activity that occurs under your account, whether or not authorized by you. Notify us immediately if you suspect unauthorized access.

4. User Responsibilities & Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not:

• Use the Service for any illegal, fraudulent, or deceptive purpose
• Attempt to gain unauthorized access to any part of the Service, our servers, or any account other than your own
• Interfere with, disrupt, or degrade the performance of the Service or its infrastructure
• Use automated scripts, bots, scrapers, or crawlers to access or extract data from the Service without our express written permission
• Reverse-engineer, decompile, or attempt to extract the source code of the Service
• Upload or transmit viruses, malware, or any other harmful code
• Impersonate any person or entity or misrepresent your affiliation with any person or entity
• Use the Service to promote or distribute unsolicited commercial messages
• Exploit any bugs, vulnerabilities, or unintended features of the Service

5. Your Trading Data & Data Ownership

You retain full ownership of all trade data, journal entries, account configurations, and other content you enter into the Service ("Your Data"). We do not claim any intellectual property rights over Your Data.

By using the Service, you grant us a limited, non-exclusive, royalty-free license to store, process, and display Your Data solely for the purpose of providing the Service to you. This license terminates when you delete your account and all your data has been removed per our Privacy Policy.

You are solely responsible for the accuracy, completeness, and legality of all data you enter into the Service. Trade Noted does not verify, validate, or endorse any trade data you provide.

We will never use Your Data to train AI or machine learning models, share it with advertisers, sell it to third parties, or use it for any purpose other than operating the Service for you.

6. Public Portfolio Sharing

The Service allows you to optionally generate a public portfolio link that displays selected performance data to anyone who has the link. If you enable this feature:

• You are responsible for reviewing your privacy settings before sharing the link publicly.
• You acknowledge that any data visible on your public portfolio page is accessible to the general public without authentication.
• Public portfolio data is self-reported and not independently verified by Trade Noted.
• You must not use the public portfolio feature to make false or misleading performance claims.
• You can revoke your public link at any time via your account settings. We are not responsible for data that was viewed, copied, or shared before you revoked access.

7. No Financial Advice

Trade Noted is a journaling and analytics tool, not a financial services provider. Nothing in the Service constitutes financial advice, investment advice, trading recommendations, or any other form of regulated financial guidance.

All analytics, metrics, performance calculations, and Monte Carlo simulations generated by the Service are for informational and educational purposes only. They are derived from data you have entered and are subject to the accuracy of that data. Past performance, whether real or simulated, is not indicative of future results.

You should seek advice from a qualified and licensed financial advisor before making any trading or investment decisions. Trade Noted is not registered as an investment advisor, broker-dealer, or financial institution in any jurisdiction.

8. Risk Disclaimer

Trading financial instruments — including but not limited to stocks, futures, forex, options, and cryptocurrencies — involves substantial risk of loss and is not appropriate for all investors. You may lose some or all of your invested capital. Leverage can work both for and against you.

Using Trade Noted does not reduce your trading risk, guarantee profitability, or substitute for professional trading education. You are solely responsible for your trading decisions and their financial consequences.

9. Third-Party Services

The Service integrates with the following third-party providers to function. By using Trade Noted, you also agree to their applicable terms of service:

• Clerk — authentication and identity management
• Google Analytics — usage analytics
• Microsoft Clarity — session recording and heatmaps
• Sentry — error monitoring (web app)

We are not responsible for the practices, availability, or terms of these third-party services. Links to third-party sites from Trade Noted are provided for convenience only and do not imply endorsement.

10. Intellectual Property

The Trade Noted name, logo, visual design, user interface, and all associated intellectual property are owned by or licensed to S and A Marketing FZ-LLC. All rights are reserved.

You may not use our trademarks, trade dress, or branding without prior written permission. You may not copy, reproduce, modify, distribute, or create derivative works from the Service or its content without express written consent.

11. Service Availability & Modifications

We strive to maintain high availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to scheduled maintenance, unscheduled outages, or factors beyond our control (including third-party provider outages).

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We will make reasonable efforts to notify users in advance of significant changes. We are not liable for any losses resulting from service downtime or discontinuation.

12. Fees & Billing

Trade Noted is currently offered free of charge. If we introduce paid plans or features in the future, we will provide clear pricing information and obtain your explicit consent before charging you. We will give existing users reasonable advance notice of any pricing changes.

13. Limitation of Liability

To the maximum extent permitted by applicable law, S and A Marketing FZ-LLC and its directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

• Trading losses or financial losses of any kind
• Loss of data or corruption of data
• Loss of revenue, profits, or business opportunity
• Costs of substitute services

These limitations apply regardless of the cause of action and even if we have been advised of the possibility of such damages. In jurisdictions where limitations on implied warranties or liability for consequential damages are not permitted, our liability is limited to the maximum extent permitted by law.

Our total cumulative liability to you for all claims arising out of or related to the Service shall not exceed the greater of: (a) the amount you paid us in the twelve months preceding the claim, or (b) USD $50.

14. Indemnification

You agree to defend, indemnify, and hold harmless S and A Marketing FZ-LLC and its affiliates, directors, employees, and agents from any claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising from: (a) your use of the Service in violation of these Terms; (b) Your Data; (c) your violation of any applicable law or third-party right; or (d) your use of the public portfolio sharing feature in a false or misleading manner.

15. Account Termination

By you: You may delete your account at any time via the profile settings page or the profile deletion page. Deletion is permanent. All your data will be deleted within 30 days per our Privacy Policy.

By us: We reserve the right to suspend or permanently terminate your account without notice if you violate these Terms, engage in abusive behavior, or if we determine your use poses a risk to other users or the integrity of the Service. In cases of suspected fraud or illegal activity, we may report relevant information to appropriate authorities.

Upon termination for any reason, your right to use the Service ceases immediately. Data deletion will occur in accordance with our Privacy Policy.

16. Disclaimer of Warranties

The Service is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied. We expressly disclaim all implied warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement.

We do not warrant that the Service will be error-free, uninterrupted, secure, or that any analytics or calculations will be accurate. You use the Service at your own risk.

17. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the United Arab Emirates, without regard to conflict-of-law principles.

Any disputes arising from these Terms or your use of the Service shall first be attempted to be resolved through good-faith negotiation. If not resolved within 30 days, disputes shall be submitted to binding arbitration or the courts of competent jurisdiction in the UAE, unless prohibited by applicable law in your jurisdiction.

18. Changes to These Terms

We may revise these Terms at any time. When we make material changes, we will update the "Last updated" date at the top of this page and notify you via email or an in-app notice where feasible. Your continued use of the Service after changes are posted constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Service and may delete your account.

19. Entire Agreement

These Terms, together with our Privacy Policy, Cookie Policy, Acceptable Use Policy, and Disclaimer, constitute the entire agreement between you and S and A Marketing FZ-LLC regarding the Service and supersede all prior agreements or understandings.

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
